Welcome to C4PASS. These Terms of Service ("Terms") govern your access to and use of the C4PASS platform, websites, software applications, and associated services (collectively, the "Services"). The platform is owned and operated by C4 Corporation ("Company," "we," "us," or "our"). The platform software is engineered and maintained by CeylonCode (PVT) Ltd. as our technology service provider.
By registering for an account, accessing, or using C4PASS as a Buyer, Seller, or Gatekeeper, you agree to be legally bound by these Terms. If you do not agree to all of these Terms, you must not access or use our Services.
1. Account Registration and Eligibility
- Eligibility: You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to create a merchant storefront or manage transactions on C4PASS.
- Account Security: You are responsible for safeguarding your login credentials. C4 Corporation is not liable for any loss or damage arising from your failure to protect your account information.
- Accurate Information: You agree to provide true, accurate, current, and complete information during registration and keep your profile updated.
2. Platform Overview and Roles
C4PASS provides a multi-tenant e-commerce and digital ticketing solution. Depending on your engagement, specific conditions apply:
- Sellers (Merchants): Individuals or entities operating independent online shops or hosting ticketed events via our infrastructure. Sellers maintain sole legal responsibility for their inventory, pricing, fulfillment, and customer service.
- Buyers (Customers): End-users purchasing goods, services, or event access through any C4PASS-powered storefront. Buyers benefit from a unified single sign-on (SSO) network across participating shops.
- Gatekeepers (Public): Any users can scan and validate QR code tickets without login
3. Wallet Credits, Fees, and Payments
- Wallet Credit System: Sellers may be required to pre-load or maintain a positive balance of platform wallet credits to cover operational fees, listing caps, or automated deductions. Wallet top-ups are non-refundable except where required by law. In the event of an order cancellation initiated by the buyer, any automated deductions or transaction fees collected for that specific order will be reversed and credited back to the seller's wallet balance. Deductions will not be reversed if the cancellation is initiated by the seller.
- Transaction Processing: Financial payments between Buyers and Sellers are processed through integrated third-party gateways (e.g., Stripe). C4 Corporation does not directly handle or retain raw credit card details.
- Taxes and Payouts: Sellers are independently responsible for determining, collecting, reporting, and remitting all applicable local, state, or international sales taxes, VAT, or goods and services taxes.
4. Event Ticketing Rules and QR Verification
- Ticket Validity: Each QR code maps to a single entry instance. Duplication or secondary unauthorized resale of tickets is strictly prohibited by gatekeeper
- Event Cancellations: C4 Corporation acts strictly as a technology host. Refund policies for cancelled or postponed events are set solely by the respective event Organizer (Seller). C4 Corporation holds no liability for refunds of event tickets unless explicitly operating as the direct event organizer.
5. Acceptable Use Policy
You agree not to use C4PASS to engage in any prohibited, harmful, or unlawful behavior, including but not limited to:
- Selling illegal items, counterfeit goods, hazardous materials, or restricted substances.
- Uploading malware, malicious scripts, or attempting to breach the security insulation between tenant storefronts.
- Engaging in fraudulent ticketing schemes, chargeback abuse, or deceptive marketing practices.
- Harassing platform staff, buyers, or other merchants.
C4 Corporation reserves the right to suspend or terminate any merchant account or user profile immediately, without notice, upon violation of these rules.
6. Intellectual Property Rights
The C4PASS name, logo, software code, user interface designs, and system infrastructure are the exclusive property of C4 Corporation, with development architecture managed alongside CeylonCode (PVT) Ltd. You are granted a limited, non-exclusive, non-transferable license to access the platform for its intended commercial purposes. You may not copy, reverse engineer, or misappropriate any portion of the platform.
7. Limitation of Liability
To the maximum extent permitted by applicable law, C4 Corporation, its directors, employees, and development partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of or related to your use of C4PASS.
The platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
8. Indemnification
You agree to indemnify, defend, and hold harmless C4 Corporation and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms, your store listings, or your violation of any law or rights of a third party.
9. Modifications to Terms
C4 Corporation reserves the right to modify or replace these Terms at any time. We will provide reasonable notice of significant changes by posting an update on our website or through user dashboard alerts. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which C4 Corporation is registered, without regard to its conflict of law principles.
